SUBSCRIPTION TERMS
These terms and conditions ("Subscription Terms") apply to your use of iMOVIEi PRO User or BUSINESS User subscription services ("iMOVIEi Membership Services"). By purchasing a subscription to iMOVIEI Membership Services you agree to be bound by the following Subscription Terms. A subscription will allow you to use certain features and functionality of iMOVIEi that are not available to other users. Please read these terms and conditions before you sign up for any subscription services. If you do not agree to be bound by these Subscription Terms you may not subscribe and your application will be rejected.
1. Definitions
"iMOVIEi Membership Services" means both iMOVIEi PRO User and BUSINESS User paid for subscription services available on the IMOVIEi website
"Subscription Terms" applies to these terms and conditions of use of iMOVIEi Membership Services
"Monthly Subscription" applies to the subscription fee you will pay on a monthly basis until such time as you cancel your subscription or we terminate your subscription in accordance with clause 5 or 6 in these Subscription Terms and Conditions, or with clause 2 or 3 of the Website Terms and Conditions
"Annual Subscription" applies to the subscription fee you will pay on a annual basis until such time as you cancel your subscription or we terminate your subscription in accordance with clause 4 or 5 in these Subscription Terms and Conditions, or with clause 2 or 3 of the Website Terms and Conditions
"Subscription Fee/s" means the fee/s to be paid by you for the use of iMOVIEi Subscription Services
"Free Trial" means any period as defined by us on the website (the duration of which may be changed from time to time) where access to iMOVIEi Membership Services will be provided to Registered Users free of charge.
"Registered User" a person registered as a user of iMOVIEi who is given access to the free content sections of the website
"PRO User" / "BUSINESS User" a person or business registered with iMOVIEi Membership Services or for a Free Trial for those services who is given access to the paid for sections of the website.
"iMOVIEi" / "we" / "us" / "our" means the website, the directors, employees and/or administrative staff of iMOVIEi Ltd., a company registered in England No. 06397683 it's agents and/or nominees.
"You" / "your" means you, the person wanting to apply for a Free Trial or take up a Monthly or Annual Subscription to iMOVIEi Membership Services.
2. Use of iMOVIEi Subscription Services
To join iMOVIEi as a Registered User or apply for iMOVIEi Membership Services you must be at least 16 years of age. Persons under the age of 16 are not permitted to join iMOVIEi. Some of the content provided on iMOVIEi may not be suitable for anyone under the age of 16 and therefore access to such content is not available to anyone who is not registered.
You can only access the subscription content for which you have paid the appropriate Subscription Fee. Sharing your access to iMOVIEI Membership Services is with any other person is not allowed, and you may not give your password to any other person, unless that person is your manager, agent or authorised representative. You may not use any other person's user name and password . You are responsible for maintaining the confidentiality of your account and its password and for restricting access to your computer.
In addition to these Subscription Terms you agree to be bound by the Website Terms, and in particular your attention is drawn to those terms regarding User Generated Content / Third Party Submissions, Intellectual Property Rights, Use of Image Content and Proprietary Rights
3. Free Trial Period
By registering for a Free Trial for either an iMOVIEi PRO User or BUSINESS User Account you will have unlimited access to the relevant iMOVIEi Membership Service for the period specified.
You can only sign up for a Free Trial once. Any subsequent applications for a Free Trial by you or by any person using your computer will be not be permitted.
At the end of your Free Trial, the Monthly or Annual Subscription payable will be automatically debited using the credit card or Paypal account you specified during the sign up process.
If you cancel your membership before your free trial period comes to an end your access to iMOVIEi Subscription Services will be terminated and your privileges will revert to those of a Registered User. You may, of course, choose to subscribe again at any time in the future, but you will not be permitted to register for another Free Trial
You can cancel your Free Trial at anytime by using the Cancel My Subscription link accessed via 'Subscription Level' from the left side menu in your iMOVIEI PRO User or BUSINESS User Account area.
4. Payment and Fees
The Monthly Subscription or Annual Subscription payable by you is set out in the relevant section when you select either PRO User or BUSINESS User services from the JOIN iMOVIEi area of the website.
In the Europian Union one rate of value-added tax is applied to subscriptions for online resources. If you are purchasing online from within the EU, VAT (value added tax) at the prevailing UK rate will be charged where applicable. For territories outside the European Union, VAT does not have to be charged, but we regret we are not able to offer any corresponding reduction in Subscription Fees.
If you are registered for VAT and do not wish to pay the tax, you will not be able to use our online ordering system. We will be happy to take your order over the 'phone, and will issue a VAT invoice, but only if you are paying annually.
The Subscription Fee for your use of iMOVIEi Membership Services will be will be payable in advance on a monthly or annual basis (as applicable) and will be processed by Us to your account using the information you provided during the registration process.
iMOVIEi only accepts payment by credit or debit card or direct from your PayPal account using PayPal Express Checkout and when paying by one of these methods you confirm that you are authorized to make such payments.
If you have purchased access to iMOVIEi Membership Services online you have the right to cancel your purchase and receive a full refund within 14 days of purchase, but please note if have logged on and used the service, other than to cancel your subscription, you will no longer have the right to receive a refund. The Subscription Fee will not be refundable in any other circumstances except as set out in clauses 5. or 6. below.
5. Automatic Renewal
We may use a third party to process and collect fees on our behalf and we reserve the right to vary the Subscription Fee payable by you from time to time. In the event of any increase in Subscription Fees we will notify you by email at least 30 days prior to the increase taking effect and if you do not cancel your subscription during the 30 day period prior to our implementing the increase we will continue to collect the increased payment as before.
Once you have commenced use of iMOVIEi Membership Services we will collect the relevant Subscription Fee automatically and credit it to your iMOVIEi PRO User or BUSINESS User Account unless you decide to cancel your subscription using the Cancel My Subscription link in your account area.
By agreeing to the Subscription Terms and providing your credit or debit card billing information, you agree that your subscription will automatically renew for successive renewal terms, and you expressly authorise and permit iMOVIEi to bill the credit or debit card you have provided, until you cancel subscription or in the event your account is suspended or terminated under the circumstances provided for in Clause 6.below
6. Cancellation
If you want to cancel your subscription at any time you can use the Cancel My Subscription link in your iMOVIEI PRO User or BUSINESS User account area.
When you cancel your Monthly Subscription you may continue to use iMOVIEi Membership Services until the date the next payment is due at which point your access to the service will be terminated
When you cancel your Annual Subscription you may continue to use iMOVIEi Membership Services for a further 90 days or until the date the next payment is due (which ever is the sooner) at which point your access to the service will be terminated. A refund for any portion of your Annual Subscription not used (if applicable) will then be made to you.
7. Suspension or Termination
We shall be entitled to suspend or terminate your use of iMOVIEi Membership Services at any time without notice should you be in breach of these Subscription Terms and Conditions, in the event any Subscription Fee/s remain unpaid or if we are unable to collect your Monthly or Annual Subscription.
Not withstanding and without prejudice to our rights to terminate described above we reserve the right to, at our own discretion, terminate your access to iMOVIEi Membership Services by giving you one month's notice by email, but in this event we will refund to you any pro rata proportion of your Subscription Fee/s due (if applicable) for the period paid for but not received.
8. Liabilities
We will use all reasonable efforts to ensure the iMOVIEi website and iMOVIEi Membership Services remain available to you at all times however you accept we cannot guarantee that the website or its features will always be available and/or remain error free.
Our total aggregate liability to you in relation to these Subscription Terms and Conditions will not exceed the total Subscription Fees paid by you for any single period in respect of a Monthly Subscription or Annual Subscription.
Nothing in these terms and conditions is intended to exclude any provision of the Unfair Contract Terms Act 1977, or of any other legislation designed to ensure that the rights of parties to a contract of this type are fairly balanced. Subject to the aforesaid, we shall not be liable to you for any loss or damage unless such loss or damage arises as a direct result of our negligence, recklessness or willful misconduct, fraud or misrepresentation.
